On 10 December 2003, 156,000,000 ordinary shares of US$0.10 each were issued to
Volcan Investments Limited in exchange for the transfer of the entire issued
share capital of Twin Star Holdings Limited. Volcan Investments Limited then
transferred 1,842,089 of those shares to Brian Patrick Gilbertson (and his
nominee) at nil-cost.

As at 10 December 2003, pursuant to a redesignation of 50,000 ordinary shares of
#1 each as 50,000 deferred shares of #1 each, Dwarka Prasad Agarwal no longer
had a notifiable interest in 50,000 ordinary shares of #1 each comprised in the
relevant share capital, as defined in section 198(2) of the Companies Act 1985,
of Vedanta Resources plc.
