                              Total Voting Rights



In accordance with the transitional provisions of the Disclosure and
Transparency Rules, VEGA Group PLC ("VEGA") confirms that its issued share
capital comprises 20,356,821 ordinary shares of 5p each.



All of the ordinary shares have equal voting rights. There are no shares held in
Treasury.  The total number of voting rights in VEGA is therefore 20,356,821.



This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the share capital of VEGA under the Disclosure
and Transparency Rules.
