Vocalis Group plc ("the Company")

Directors' shareholdings

The  Company was notified on 17 June 1999 of the following transactions  in
the  Company's ordinary shares of 5p each ("ordinary shares")  by  two
directors of the Company on 17 June 1999:

a)    Ms  Jane  Crathern, the finance director of  the  Company,  sold
320,000  ordinary shares at 92.5p per ordinary share.  Following  this
transaction Ms Crathern no longer holds any ordinary shares.

b)    On 17 June 1999 Dr Minesh Patel, the operations director of  the
Company,  sold  42,500 ordinary shares at 92.5p  per  ordinary  share.
Following this transaction Dr Patel is interested in 715,778  ordinary
