The Board of Directors of Worldsec Limited announces that

(i)    Mr Makoto ITO has been appointed as Alternate Director to Mr Yasumine
       Satake of the Company effective from 11th March 2002; and

(ii)   Mr Kenji KAWAMURA has resigned as Alternate Director to Mr Yasumine
       Satake of the Company with effect from 11th March 2002.

Brief biographical note on Mr Makoto ITO is as follows:

Mr Ito, aged 42, is currently Chief Manager, Asset Management Business Division
of The Bank of Tokyo-Mitsubishi, Ltd. Mr Ito joined The Mitsubishi Bank in 1983,
which merged with The Bank of Tokyo in 1996 to form The Bank of Tokyo-
Mitsubishi, Ltd. His professional experience includes several management
positions in asset management and corporate finance business in the bank's Head
Office. Mr Ito holds a Bachelor of Commercial Science degree from Hitotsubashi
University.
