Completion of Disposal

The Board of Worldsec Limited ('the Company') announces that the Group has today
completed the disposal of Worldsec International (U.K.) Limited and the Research
Materials of the Group to UOB Kay-Hian Holdings Limited ('UOBKH'). The
completion of the disposal of Worldsec Investment Consulting (Shanghai) Co., Ltd
is deferred as detailed in the circular to shareholders of 1 August 2002,
pending satisfaction of all conditions precedent.


The Board is continuing to explore opportunities for the Group and its remaining
assets.


Mr Henry Cheong and Mr Alastair Gunn-Forbes are transferring their employment to
UOBKH. Both Henry Cheong, Deputy Chairman and Chief Executive Officer, and
Alastair Gunn-Forbes have resigned from their executive offices with the Company
and will remain as non-executive directors on the Board of the Company. The
Board of the Company would like to thank them for their valuable contributions.
