AGM Statement

At the AGM of Xploite at 11am today, John Standen, Chairman, will report:

"Trading to date is in line with the Board's expectations and our confidence in
the outcome for the current year remains in place. We have won new business in
all divisions and especially in managed services. New contract wins include,
Wyevale Garden Centres, Mitie Group and EasyJet. These managed services
contracts are longer term and add a greater level of certainty to future revenue
streams.

Further to the announcement made on 11th December that Xploite was in
discussions which may or may not lead to an offer being made for all or part of
the company, the Board confirms that discussions relating to an offer for the
company have now ceased and Xploite is no longer in an offer period."

Commenting on the ending of discussions, Ian Smith, Chief Executive Officer of
Xploite will add, "I am pleased that the uncertainty over the duration of the
offer period has ended and we can get back to building on the strong momentum we
are experiencing in the business as we continue to grow our managed service
customer base. We have a strong balance sheet and are looking forward to making
further acquisitions, in line with our stated strategy, in an increasingly
attractive market for M&A deals. I am very confident that our financial
performance moving forward will demonstrate that our managed services strategy
is capitalising on the area of the IT services market which is experiencing some
of the strongest growth."
