“us”, “our”, the “Company” or “Registrant”) reserved for issuance under the
Company’s Amended and Restated 2017 Incentive Stock Plan.

Our memorandum and articles of association,
the BVI Business Companies Act, (as amended), and the common law of the British Virgin Islands allow us to indemnify our officers and
directors from certain liabilities. Our memorandum and articles of association provides that we may indemnify, hold harmless and exonerate
against all direct and indirect costs, fees and expenses of any type or nature whatsoever, any person who (a) is or was a party or is
threatened to be made a party to any proceeding by reason of the fact that such person is or was a director, officer, key employee, adviser
of our company; or (b) is or was, at the request of our company, serving as a director of, or in any other capacity is or was acting for,
another Enterprise.
We will only indemnify the individual
in question if the relevant indemnitee acted honestly and in good faith with a view to the best interests of our company and, in the case
of criminal proceedings, the indemnitee had no reasonable cause to believe that his conduct was unlawful. The decision of our directors
as to whether an indemnitee acted honestly and in good faith and with a view to the best interests of our company and as to whether such
indemnitee had no reasonable cause to believe that his conduct was unlawful is, in the absence of fraud, sufficient for the purposes of
our charter, unless a question of law is involved.
The termination of any proceedings by
any judgment, order, settlement, conviction or the entering of a nolle prosequi does not, by itself, create a presumption that the relevant
indemnitee did not act honestly and in good faith and with a view to the best interests of our company or that such indemnitee had reasonable
cause to believe that his conduct was unlawful.
We may purchase and maintain insurance,
purchase or furnish similar protection or make other arrangements including, but not limited to, providing a trust fund, letter of credit,
or surety bond in relation to any indemnitee or who at our request is or was serving as a Director, officer or liquidator of, or in any
other capacity is or was acting for, another Enterprise, against any liability asserted against the person and incurred by him in that
capacity, whether or not we have or would have had the power to indemnify him against the liability as provided in our memorandum and
articles of association.
We have insurance policies under which,
subject to the limitations of the policies, coverage is provided to our directors and officers against loss arising from claims made by
reason of breach of fiduciary duty or other wrongful acts as a director or officer, including claims relating to public securities matters,
and to us with respect to payments that may be made by us to these officers and directors pursuant to our indemnification obligations
or otherwise as a matter of law.
We have entered into indemnification agreements
with each of our directors and executive officers that may be broader than the specific indemnification provisions contained in the BVI
Companies Act, 2004 or our charter. These indemnification agreements require us, among other things, to indemnify our directors and executive
officers against liabilities that may arise by reason of their status or service. These indemnification agreements also require us to
advance all expenses incurred by the directors and executive officers in investigating or defending any such action, suit or proceeding.
We believe that these agreements are necessary to attract and retain qualified individuals to serve as directors and executive officers.
At present, we are not aware of any pending
litigation or proceeding involving any person who is or was one of our directors, officers, employees or other agents or is or was serving
at our request as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise,
for which indemnification is sought, and we are not aware of any threatened litigation that may result in claims for indemnification.

legal counsel to the Company in connection with a registration statement on Form S-8 to be filed with the Securities and Exchange Commission
(the “Commission”) on or about 4 August 2023 (the “Registration Statement”, which term does not include
any other document or agreement whether or not specifically referred to therein or attached as an exhibit or schedule thereto) relating
to the registration under the United States Securities Act of 1933, as amended, (the “Securities Act”) of 6,024,504 ordinary
shares of no par value in the capital of the Company (the “Shares”), issued under, or reserved for issuance pursuant
to, the Borqs Technologies, Inc. Amended and Restated 2017 Incentive Stock Plan (the “Plan”, which term does not include
any other document or agreement whether or not specifically referred to therein or attached as an exhibit or schedule thereto).
For the purposes of giving this opinion,
we have examined copies of the Registration Statement and the Plan. We have also reviewed copies of the amended and restated memorandum
and articles of association of the Company registered on 18 August 2017 and as amended by resolution of directors passed on 19 October
2022 and registered on 21 October 2022 (the “Memorandum and Articles”), and the written resolutions of the directors
of the Company effective 2 August 2023 (the “Resolutions”).
Based upon, and subject to, the assumptions
and qualifications set out below, and having regard to such legal considerations as we deem relevant, we are of the opinion that:
1. | The Shares to be issued by the Company and registered under the Registration Statement have
been duly and validly authorised. |
2. | When issued and paid for in accordance with the terms of the Plan and in accordance with
the Resolutions, and when appropriate entries are made in the register of members (shareholders) of the Company, the Shares will be validly
issued, fully paid and non-assessable. |
In this opinion letter, the phrase “non-assessable”
means, with respect to the issuance of Shares, that a shareholder shall not, in respect of the relevant Shares, have any obligation to
make further contributions to the Company’s assets (except in exceptional circumstances, such as involving fraud, the establishment of
an agency relationship or an illegal or improper purpose or other circumstances in which a court may be prepared to pierce or lift the
corporate veil).
These opinions are subject to the qualification
that, as a matter of British Virgin Islands law, a share is only issued when it has been entered in the register of members (shareholders).
Under section 42 of the BVI Business Companies Act (as amended) of the British Virgin Islands, the entry of the name of a person in the
register of members of a company as a holder of a share in a company is prima facie evidence that legal title in the share vests in that
person. A third party interest in the shares in question would not appear. An entry in the register of members may yield to a court order
for rectification (for example, in the event of inaccuracy or omission).
These opinions are given only as to, and
based on, circumstances and matters of fact existing and known to us on the date of this opinion letter. These opinions only relate to
the laws of the British Virgin Islands which are in force on the date of this opinion letter. We express no opinion as to the meaning,
validity or effect of any references to foreign (i.e. non- British Virgin Islands) statutes, rules, regulations, codes, judicial authority
or any other promulgations.
We have also relied upon the assumptions,
which we have not independently verified, that (a) all signatures, initials and seals are genuine, (b) copies of documents, conformed
copies or drafts of documents provided to us are true and complete copies of, or in the final forms of, the originals, (c) where a document
has been provided to us in draft or undated form, it will be duly executed, dated and unconditionally delivered in the same form as the
last version provided to us, (d) the Memorandum and Articles remain in full force and effect and are unamended, (e) the Resolutions were
duly passed in the manner prescribed in the Memorandum and Articles and have not been amended, varied or revoked in any respect, (f) there
is nothing under any law (other than the laws of the British Virgin Islands) which would or might affect the opinions set out above, and
(g) there is nothing contained in the minute book or corporate records of the Company (which we have not inspected) which would or might
affect the opinions set out above.
