Wrong. That is O/S after the current convertible convert. That will likley be the O/S here soon.

That agreement clearly says that, then in a year AIC holders get their shares equallying 92% of O/S

No when they convert their shares to aic it will equate to 92% of current outstanding hence why they then in the actual 8k show total outstanding for Cgra after this conversion will be right around 1 billion total outstanding.

I think it's the idea AREC holders will have 92% ownership of commons after a year is the issue. 

A year is a long time so I could definitely see a huge run while it becomes clear what asset value and deals they put into this

I dont get why its down here either

Why? Whenever I acquire shares of this stock it feels as if I have my feet firmly planted in midair. I keep adding but I don't have the sense of a firm foundation for optimism (yet). Am I missing something?

Part of ones DD might be going backwards on this board for a few years. Maybe read all the other news releases. How about when they pumped 2 guys in a garage and a boxing outfit as "Great Disrupters" back when disrupt was all the buzz. Posters on here, be them newbies or old-timers, all have opinions of this latest round of news. It would be nice if they prosper and I'm all for it. Optimism on my behalf is limited at this time.

Well, I wouldn't say they are all gone. Nick Link got a board slot in the deal. I'm newer to this ticker and have done a deep dive in the filings yet to see how long he has been with CGRA.

I'm just curious which outfit your are referencing with this post. CGRA team or the AREC team? 

How would the CGRA team pull the strings here if the Shareholders of AREC stock are the ones who will receive preferred A shares

Seems all voting control would shift to AREC owners if they own all the preferred stock. This is not to say once those holder won't convert and dump their lots as soon as possible.

Same ol same ol, everytime this outfit does this, all the assets disappear. Shareholders have never had any accounting of where all our money went other than it was scammed away. At least Ol Fred filed current each quarter. All the billion dollar promises and then the funny underwear company and no mines exist. Now this. Lotsa talk, no delivery. PROVE! me wrong this time.

What are u missing here? American infrastructure is acquiring Cgra and anything Cgra previously had is being removed from Cgra and American infrastructure will then do the name change symbol change and we will be a totally different entity. Cgra is no longer going to exist here as a public company.

I thought that was Cgrowth Capital's Function. 

The holding company allows for the redistribution of shareholder money to wholly owned subsidiaries. Anyone who has been here very long, knows what kind of subsidiaries this out fit has had. All the money came and went and here we are doing it again.
