Every time I visit any Costco , it seems packed with customers, I like to invest in companies I go and visit, touch and feel , not all brick and mortar , even technology type entities, I believe in visiting the companies even if I have a tiny stake , I have also visited startups , micro cap, mid cap , it gives me some real idea of the overall business , I read some book by Peter Lynch fidelity guy , a while back, he got ideas about companies by this method and seeing what his wife was buying 🤔

Note review: the tasting room manager, said he has been in the liquor industry for 40 plus years and said they are creating private label brands with unique taste profiles for different types of spirits outside of their own brands, flavored whiskies and specialty engraved bottles , part of the distillery tour is the bottle engraving area, a laser engraving machine engraves unique bottles, like you can put your company logo or your wedding picture on a bottle,, great speciality personal or corporate gift , Fletcher NC seems to be a good area for the distillery as it is probably 15 min from Asheville which gets tons of tourists year round..

Ok, I did a tour of the subsidiary facility , approximately 18 min from distillery, very professional group , showed me the prototype & development and machine assembly area , very impressive to the layman’s eyes . They are completing a project for a customer who has asked them for a prototype to solve a specific issue in the wood industry, they would not disclose specifics but I actually get the impression that this leads to a bigger project. Overall I really like all of the people I have met from the manager of the tasting rm at the distillery to the customer service rep that was kind enough to give me a brief tour . I see a hub of activity at both locations and with the caveat that there is always risk, In my opinion this looks good. I will be traveling again over the next few days but will review my notes and try to relate everything thst I learned, side note I again visited the tasting room , there was a good crowd in the store area and they have flyers for the county fair, where they will be doing tasting of their flavored whiskies and Tim Smith of moonshiners and Master Distillers fame will be signing autographs. This is cool company to come and checkout and I suggest if you are in the area you go visit. It’s not Ibm but for a small micro I have a positive view.

Stopped at the Distillery tasting room again , for the 45 minutes I was there, they seemed to have quite brisk business in the tasting room store, which sells all of their in-house brands as well as merchandise like hats, tshirts, engraved bottles etc. The gentleman who is in charge of the tasting room very pleasant , very informative. He says they are going to introduce some brand new flavored whiskies in the next few months. I have made an appt for tmrw to visit the RFS subsidiary which they tell me is a 20 minute drive from the distillery. It seems like they are busy here but obviously I have no idea how that translates into their overall success, I remain cautiously optimistic. I will give a further update after my visit tomorrow. Hopefully I will get a decent idea after I have been given the tour .

From my stop off to see the distillery, I saw the bottling line working, and what the tasting rm person called their “sustainably matured” aging operation which was loading and unloading “totes” of product , at that time they were running whiskey , she explained that it goes through that process for 9-16 hrs . The Moonshiners show stars were all there because they are filming the “Masterdistillers” episodes on-site. IMO this has a real shot but we have to see their real progress and how efficiently it is run of course. I did ask about when they would get their next reports in and uptodate , but i was asking a customer service person in tasting rm, she called someone else and they said it’s being worked on and will be soon, beyond that , no further comment. After I got to spend time in tasting rm and go on a tour to see everything in that operation, It looks promising and Iam cautiously optimistic. I did ask about the other sub which is called RFS “ and was told it was approx 20 minutes from there and on my next trip , my plan will be to visit that location as well , they seemed amenable to letting me get a tour of that operation also but said I would need to come by distillery on the way and they would arrange an appt. They seem very professional and couldn’t have been nicer. That’s it for now

Ok I made it to the distillery and I visited the Tasting room and took the tour again, it was a hub of activity, the tasting rm was very busy , I learned from the person working in the tasting rm store that at this moment , the MasterDistillers TV show is being taped there for 4-6 weeks, Tim Smith of Moonshiners fame came into the tasting room in between filming and signed autographs , I took a ton of pictures, personally Iam impressed by the operations
Heading out to continue on my trip but will make a more complete update based on my visit and the conversation with the people on-site

Based on the following paragraph in the original 8K, I was under the impression Two Trees would be the surviving company and we would see a name change. I am surprised Laker is still CEO. Also, where is the BOD?

————————————————-

“Pursuant to the terms of the Merger Agreement, at the closing of the Merger, the Company’s Board of Directors (the “Company Board”) will be expanded and a number of persons as named by Two Trees will be named to the Company Board such that such persons comprise a majority of the Company Board, and the Company Board as such newly constituted will name or replace any officers of the Company as it may determine. In addition, at the closing of the Merger, the directors and officers of Two Trees as in place immediately prior to the closing will remain in place as the directors and officers of the Surviving Corporation.”

I bought 3500 shares of MDWK as a lark. I worked for Agera and Sunwave.
Kevin Cassidy appointed Steve Laker the CEO of both companies. Michael Nordlicht was the MDWK COO (and previously affiliated with both Agera and Sunwave) but he resigned per an SEC report on 12/29/23. Interestingly, per SEC report 10-K/A (see:: https://fintel.io/doc/sec-mdwerks-inc-1295514-10ka-2023-may-31-19509-7698) "Kerry Cassidy is the Managing Member of Tradition Reserve Trust 1 LLC and has sole dispositive power over the shares owned by Tradition Reserve Trust 1 LLC. Its address is 107 N Greeley Ave., PO Box 892, Chappaqua New York 10514."
Management and Board (assuming there is one) owe shareholders an explanation as to what is happening with our company....but I won't hold my breath.

The CEOs silence speaks volumes. Laker was apparently involved in a few failed energy companies. Who is really behind him who made him the CEO who is funding operations? There is no way this guy put together the Two Trees and RF idea on his own.

MDWerks’ Two Trees Beverages Subsidiary Expands and Extends Collaboration with Tim Smith of Discovery Channel’s Moonshiners in New 15-Year Agreement

GREEN COVE SPRINGS, Fla.--(BUSINESS WIRE)-- MDWerks, Inc. (“MDWerks” or the “Company”) (OTC: MDWK), a forward-thinking company leading the charge in the world of sustainable technology, today announced that the Company’s award-winning Two Trees Beverages subsidiary (“Two Trees”) has entered into a new 15-year license agreement that expands and extends its collaboration with Tim Smith, best known for his starring role in Discovery Channel’s Moonshiners and for crafting classic moonshine and other fine spirits.

Under the new agreement with the licensor, Shine Time, LLC, the Company’s product licensing territory for Tim Smith Spirits® has been expanded beyond the United States to include all members of the European Union plus the United Kingdom, Norway, Switzerland, Iceland, Serbia, Turkey and Ukraine, and each country in which any episodes of the reality-television series Moonshiners is aired via terrestrial television, cable or may be digitally streamed by agreement with a digital distribution agreement.

The newly expanded license agreement extends the Tim Smith and Two Trees collaboration through the year 2038. Tim Smith and Two Trees have partnered since 2013 under the original license agreement. Tim Smith Spirits® branded products include Climax Moonshine™, Climax Wood Fired Whiskey™, Climax Fire No 32™, Southern Reserve Bourbon™, Southern Reserve Rye™, and Southern Reserve Whiskey™.

Steven Laker, CEO of MDWerks, commented, “We are thrilled to build on Two Trees’ longstanding relationship with Tim Smith, the legendary third-generation moonshiner featured on Discovery Channel’s Moonshiners and the man behind our critically acclaimed portfolio of Tim Smith Spirits® branded products. Under this exciting new long-term license agreement, we expand the product license territory beyond the United States and intend to work more closely with Tim on promotional activity surrounding our award-winning fine spirits portfolio. We have identified product marketing opportunities with Tim in the areas of strategic product placement across a range of media, distillery visits, and co-branded events, among others.”

Mr. Laker concluded, “In February, be sure to meet Tim at events in and around Daytona for the big race, where he will be available for pictures and will be promoting our brands.”

Tim Smith added, “Building on our shared Appalachian roots, Two Trees has been a valuable partner in expanding Tim Smith branded products to a national audience through its Sustainably Matured™ production capabilities and marketing and distribution expertise. I am eager to step up my support of the Two Trees team in growing the current spirits portfolios as well as developing successful new brands.

Until this PR I didn’t notice the rfspecialtiesus.com website has now been converted to the MDWerks site.
I’m also surprised to see the PR quote that Laker is still the CEO.
I thought the Two Trees team took over, but that doesn’t seem to be the case now.
I think there is still a lot of moving parts and hopefully it will all be in the best interest for us shareholders.

I bought in about 2 years ago at around $.03 and forgot about it.
I like the Tim Smith connection and the license angle, any news on that and this could really pop.

We see a significant opportunity to license our proprietary accelerated-aging technology to other spirit producers who can take advantage of the associated speed, financial benefits, and ethically sourced profile it delivers.

I'm going to hold for now and see what happens.
Thanks for all the info you post.

I don't recall them saying "energy wave technology" before. Like the new marketing spin. Wonder where the $$$ will come from for this glorified advertising adventure? If I thought $MDWK was a beverage play, this marketing ploy might be a worthy gamble. But I think the value here is the "energy wave tech". Think this foray is misguided here.
