Item 1.01                      Entry into a Material Definitive Agreement.

Effective June 25, 2013, Polar Petroleum Corp., a Nevada corporation (the “Company”), issued to US Energy Investments Ltd. (the “Lender”) a convertible promissory note in the principal amount of $100,000 evidencing a loan in that amount received by the Company from the Lender. The note is due on June 24, 2016, and bears interest at 10% per annum, payable on the maturity date or earlier prepayment.  The Company may prepay all or any portion of the principal amount of the note without penalty.  Subject to a customary 4.99% “blocker” provision, the Lender may convert all or any portion of the outstanding principal amount of the note, together with accrued and unpaid interest thereon to the date of conversion, into shares of common stock of the Company, at a conversion price per share of common stock to be mutually agreed by the Company and the Lender, which in no event shall be less than $0.20 per share.  The note contains customary events of default and acceleration and customary representations by the Company.

The foregoing is a summary of the material terms of the note.  This summary is subject to, and is qualified in its entirety by, reference to the form of the note that is filed as an exhibit to this Report and  incorporated herein by reference.

The Company intends to use the net proceeds of the note for general working capital.
