1933 Industries Reports Fourth Quarter and 2023 Year-End Financial Results and Posts Record Revenues of $18.3 Million

1933 Industries is pleased to announce its fourth quarter ("Q4 2023") and audited annual financial results for the year ended July 31, 2023 ("Fiscal 2023"). All amounts expressed are in Canadian dollars.

The Company owns 91% of Alternative Medicine Association (AMA), the Companyโ€™s cultivation and production subsidiary focused on the medical and adult-use cannabis market, and 100% of consumer-packaged goods manufacturer Infused MFG LLC (Infused). The Companyโ€™s revenue is derived from wholesale cannabis sales in Nevada (AMA), and from the sale of hemp-derived wellness products (Infused) under the Canna Hemp™ brand sold across the US via e-commerce at cannahemp.com

Management Commentary
โ€œWe are pleased to report record revenues of $18.3 million for fiscal 2023, a 46% increase from fiscal 2022โ€, said Mr. Paul Rosen, Chairman and CEO of the Company. โ€œWe are encouraged by this milestone accomplishment, achieved despite experiencing a considerable disruption in our cultivation facility during the 3rd and 4th quarters while the Company upgraded and retrofitted its facility, which significantly reduced overall revenue during those two quarters. With those upgrades now completed, we remain focused on continuing to increase overall revenue, while also remaining committed to fine tuning our operations and continuing to cut costs. We anticipate that our disciplined approach will allow us to pursue additional growth opportunities in the future.โ€

Fiscal 2023 and 2022 Consolidated Operating Financing Highlights
Total revenues increased by 46% to $18.3 million in fiscal 2023 from $12.5 million in fiscal 2022. AMA revenues increased by 56% during the reporting period, from $10.9 million in fiscal 2022 to $16.8 million in fiscal 2023.
Expenses were $12.8 million for fiscal 2023 compared to $20.2 million for fiscal 2022, including a non-cash goodwill impairment relating to AMA of $4.6 million.
Gross profit, excluding fair value adjustments, was $0.6 million for fiscal 2023, compared to $3.2 million during the same period in fiscal 2022. Gross profit, after fair value adjustments, was a loss of $0.6 million for fiscal 2023 and a profit of $2.7 million for fiscal 2022. The decrease in gross profit was due to increased production and cultivation costs, delayed harvests, and lower yields while the Company upgraded and retrofitted the buildingโ€™s complex irrigation and humidification systems during the reporting period.
Net loss and adjusted EBITDA were a loss of $14.0 million and $7.6 million, respectively, for fiscal 2023, largely attributed to the infrastructure updates to the cultivation facility, compared to a loss of $18.1 million and $4.8 million, respectively, for fiscal 2022.
Basic and diluted net loss per share was $0.03 for fiscal 2023, compared to $0.04 for fiscal 2022.
Cash was $1.1 million at the end of the reporting period, compared to $0.3 million in fiscal 2022.

Q4 2023 Compared to Q4 2022 Financing Highlights

Q4 2023 revenues increased to $5.6 million from $2.6 million during the comparable period. The 115% increase in revenue in the current period was primarily due to an increase in AMA revenues resulting from the completion of the retrofit and upgrades to the cultivation facility, and from the plant operating at full capacity. AMA generated significant revenue from the sale of whole cannabis flower.
Gross profit was $0.1 million in the current period compared to a gross loss of $1.9 million in the prior year comparable period.
Expenses were $9.2 million in Q4 2023 compared to $2.2 million in Q4 2022. Included in the increase were higher G&A expenses, a $4.6 million goodwill impairment, higher license fees, taxes, insurance, legal and auditing fees, and increased share-based compensation due to the timing of the vesting of previously issued stock options.

Outstanding Debentures

On November 14, 2023, Holders of 10% Senior Unsecured Convertible Debentures Due December 31, 2023, approved a proposed amendment, which authorizes the Company to pursue at its discretion one of the following settlement options:

The extinguishment of the Debentures upon maturity and the principal debt owed thereunder, excluding any interest in arrears, through the issuance of a new 10% unsecured convertible debenture (the โ€œNew Debentureโ€) with a two year maturity, convertible into units at a price of $0.05 per unit, each unit comprising one common share of the Company and one share purchase warrant, subject to certain acceleration provisions as more particularly defined in the indenture governing the New Debenture, or
The extinguishment of the convertible debentures upon maturity, principal debt and excluding interest in arrears, through the issuance of a Unit to the Debenture holders, each Unit being issued at a deemed price of $0.02 per $1.00 of principal, and one share purchase warrant exercisable into one additional common share of the Company at a price of $0.05 for a period of five years from the date of issuance.

Glad to hear from Paul that demand for their products remains strong. This is backed up by recent Headset reports that currently show AMA with the #1 (Sierra Candy) and #3 (Jacked Gorilla) Pre-rolls in Nevada. They've been consistently in the Headset Top 5 for Pre-rolls all spring and summer. Also NUWU, the largest dispensary in Vegas, currently has 4 AMA infused Pre-rolls in their Top 15 sorted by popularity including, #5 Amnesia Trance, #10 Giga Bud, #11 Wedding Cake, and #15 Primitivo. Looks to me like AMA has more product at NUWU than any other dispensary, Maybe it's because they sell more since they already allow consumption and don't charge sales tax? I'm liking the 52% increase over last year for the last six months. Also liking the second consecutive quarter of positive adjusted EBITDA. To me $9.2 million in sales over six months with positive EBITDA is a big success to build on. Especially considering where things were when Paul took over. Hopefully the reported facility upgrades have already started to increase supply to Nevada dispensaries. Hoping for some really big spring and summer quarters. AMA Currently #1 In Nevada Pre-Roll Category...

Happy to see current Headset data showing AMA's Cookies and Chem as Top Pre-Roll in Nevada. Now with consumption lounges finally approved pre-rolls should be big sellers because of the convenience factor. With AMA currently top dog in pre-rolls I'm hoping they get lots of orders from newly opened lounges looking for quality value options for their customers. AMA also has the #6 selling pre-roll with their Dosi Face 1 gram option.

Liking the new Level X Premium Whole Flower releases including high THC BioJesus @ 27.16%, Ice Cream Cake @ 27.55, Grand Cru @ 25.71%, and Funeral Cake @ 25.02%. Hopefully we will be seeing some of these in the Nevada Top 10 soon. Also liking all the new concentrate flavors released just before consumption lounges open. **NEWS** 1933 Industries Reports Fourth Quarter and Annual Financial Results for Fiscal Year 2022

Under current leadership the Company has stabilized its operations and decreased expenses from the previous year by $1.9 million, without compromising revenue. During fiscal 2022, the enhancements made to the Company's cannabis cultivation facility resulted in the doubling of yield from its previous year and provided the necessary input material to increase its production of extracted products. The Company has proven to be an experienced operator with a well-positioned cultivation facility that can continue to scale. As the market normalizes to pre-Covid levels, the Company will continue to find ways to operate more efficiently to increase revenues and achieve profitability.

Considering the inflationary strain on consumers wallets in 2022 the company still managing to post a revenue gain for the year is positive to me. Pretty strong considering AMA customer Planet 13 just reported sequential revenues down 22%. Also encouraging for the upcoming end of December Q1 report is 1933's reported 34% increase in concentrate sales in 2022.

In stressful tight money times it makes sense that customers would want the most bang for their buck, and AMA's significant increase in concentrate sales seems to bare this out. Studies show maturing cannabis consumers move more and more to cannabis concentrates for stronger better tasting results. Stats show infused pre-rolls are the fastest growing category of all and are expected to be big sellers in Vegas consumption lounges. AMA also produces Top 10 selling regular pre-rolls including #6 SinMint Cookies, and #7 Scarlett Johansson.

To Me these annual numbers reflect the normal summer slowdown in Vegas and all the ugly write downs built up through previous managements. Still believe Paul and the team are on the right track featuring exotic cultivars infused with exotic concentrate combinations at reasonable prices locals can afford. When prices get back to normal AMA will benefit from all the market share they gained selling top shelf product at value prices. IMHO :)

Looking more forward to the fall Q1 numbers coming up end of December. They started Q1 with over $5 million in inventory so hopefully they sold through that and then some. Believe we will get a better look at a much cleaner 2023 balance sheet more reflective of current sales. Liking that the company remains optimistic and says they are confident for strong growth in 2023.

AMA Continues To Dominate Nevada Concentrate Top 10

Recently updated Headset data shows AMA continuing to dominate the Nevada Top 10 with a 50% share of the category. This strong showing has been going on all summer and now into the fall. Not much news lately but the year end report should be out sometime this month, with the first quarter report shortly thereafter. This tells me Paul is still a big believer in 1933's future. It also tells me he expects to get repaid in a year or less. I'm guessing he crunched the numbers and believes that's a reachable target. Not having access to real time sales numbers it's hard to know how much free cash flow there is right now. I'm thinking cash flow could be way up as evidenced by all the AMA products currently residing in the NEVADA TOP 10 in multiple categories. Congrats to the team for gaining a 50% share of Nevada's Top 10 concentrate products based on actual units sold over the last 90 days. 1933 Industries Announces Results of Extraordinary Meeting of Debentureholders

The amendments required an affirmative vote of at least 66 ?% of the principal amount of the debentures voted at the meeting. The total votes represented at the meeting accounted for only 18.7% of the outstanding debentures. The Company believes that with a stronger voter turnout, all the proposed amendments would have been accepted by Debentureholders. The Board of Directors had unanimously recommended that Debentureholders vote in favour of each of the amendments as it believes they are in the best interest of its shareholders. The Board of Directors is currently considering further options and will advise shortly.

If the burdensome 66% majority requirement was changed to a simple majority the proposal would have passed. This needs to be changed for future votes. Now a company seemingly on the verge of profitability is being distracted by only $4 million worth of debentures. Thankfully Paul has gotten the debenture debt down to the relatively manageable level. Now is the time for debenture holders to get behind the company for the final push to profitability. AMA Has #1 Best Selling Concentrate In Nevada

Headset data updated on July 11th shows AMA's Gorilla Glue #4 Badder is the top selling concentrate in Nevada over the last 90 days. To prove their point they also have the #5 and #6 best selling concentrates as well. Looks like AMA has pitched their tent in the Top 10 with 3 of the top selling concentrates once again. One thing I always notice about top sellers is they usually have a color, flavor, or food in the product name. It's something all customers can relate to over terms like gas or diesel that can confuse the average customer. To me strains chosen to cultivate should always have a positive effect in name, appearance, and effect.

**NEWS** 1933 Industries Announces Third Quarter 2022 Financial Results

During fiscal 2022, the Company made substantial changes to its cultivation and production facilities which have resulted in significant improvements in the quality of its flower and the input for its extracted products, as well as higher productivity and quantity of units sold. These changes have led the Company to achieve higher revenues compared to its previous quarter and have laid the foundation for improved performance going forward. The Company's cannabis cultivation subsidiary recorded a 33% increase in revenues from the sale of cannabis flower, pre-rolls and extraction products due to the optimization of both its cultivation and processing facilities. Output from its cultivation has been drastically increasing and yield has almost doubled from a year ago. The Company deployed strategic capital to make the necessary improvements and hired operations and sales leadership, which have resulted in improved performance in both output and added self-space in dispensaries. Focus was also placed on reducing the cost of goods, which in turn increased gross margins.

Liking the 33% increase in revenues and the cultivation output doubling over last year. They harvested a record $5+ million in cannabis/trim during the quarter, and ended the quarter with $7.4 million in inventory. They also had $1.7 million in receivables in addition to their cash balance at quarters end. Plus Day One was able to repay the loan so that should add to 1933's working capital as well.

Except for the non-cash goodwill impairment expense this looks like a solid quarter to me, with positive EBITDA and a respectable 47% gross margin. Hopefully this is the last big write down of previous management's mistakes, and we can rapidly move forward to profitability in this current quarter. This next report should give us a good read on revenues since the facility upgrades to increase output were fully implemented. According to the last report they started the quarter with $5+ million in inventory, so hopefully they sold through that and then some. I'm guesstimating they will come in somewhere between $4 and $6 million because of increased output and tourism during the quarter. Fingers crossed greenwillow. GL

Whole space has been a drag since Feb 2021.

Lack of federal progress / canna reform in the states + seasonally weak summers + bear market = tough spot for all canna companies.

1933 seemed to get back on track last year, but they're not exactly thriving either.

Paul did a good job saving them, but he hasn't been able to get them profitable and growing again yet. He's close, but he really needs to focus and step it up a bit more.

What's happening to cannabis companies right now???

Seems irrational to me. Last we heard from Paul he was optimistic that 2022 would be profitable. They came close in Q2, and since then Vegas tourism has taken off with conventions and concerts back online.

I'm seeing more AMA products than ever at the Planet 13 and NUWU superstores in Las Vegas, plus chain dispensaries around Nevada. Paul said since automation it's costing them less to produce more in his January interview below. Also, the company made a early mover entry into infused pre-rolls which is the fastest growing category in the US and Canada.

To me Paul is making good choices for shareholders. Looking forward to seeing Q3 numbers in two weeks. Expecting a sizable jump considering the uptick in tourism during the quarter. Profits Maybe :) Fingers crossed!!! glta

NUWU is a popular Native American owned superstore in Las Vegas. It's popular because they charge no sales tax on purchases. AMA has all the popular products in stock like vapes, concentrates, flower, and pre-rolls. Plus over half the CBD selections at NUWU are CannaHemp products.

Sounds like Day One may have underestimated their capital needs when negotiating the binding LOI with 1933. Paul seems to have negotiated a good deal where 1933 continues its CBD co-packing arrangement with Day One, and possibly retains 10% of Day One if repayment is not made on time. Maybe it's for the best if this was going to be a cash drain when Vegas is so close to profitability. If 1933 wants beverages they can make their own in-house in Vegas much cheaper than outsourced in California. I always liked the shot format. Less packaging :) glta

Looks like 1933 has found a stable baseline of $2.5 million quarterly to build on. With a run rate now around $10M annually their current market cap seems pretty low to me. These cannabis company valuations seem crazy to me on a fundamental level.

Nice to see Paul brought in two cannabis industry veterans for sales and cultivation. I'm already seeing 1933 products in more stores. AMA is also posting frequently rooms full of healthy and fire looking flower getting ready for harvest. Fingers crossed 2022 will be profitable for 1933. Happy New Year!!!! glta

The 100 year old stodgy conservative senators will never back cannabis reform the private prisons are full of inmates on weed offences especially in republican states.as high as 65% of incarcerated people are in on drug related charges.tgif can make a lot of money in Nevada regardless of the federal regulations.

Looks like Planet 13 is partnering with AMA and other preferred partners for 13 days of Litmas. P13 probably going to have some big sales for all those Vegas high rollers down on the strip. 1933 is pretty tied to Planet 13 for the majority of their sales. Last I checked AMA had around 50 products currently available at P13. Fortunately P13 revenues have been at record levels recently so we will see if 1933 benefited revenue wise end of this month. With the progress 1933 has made shedding debt and unnecessary expenses, along with increased revenues and margins, I'm not sure why the share price is dropping. For me I'm still buying :) glta

Looks to me like Rosen finally got 1933's debt and expenses substantially under control. Traded out the high cost 2020 revenues for higher margin 2021 revenues. Almost dollar for dollar revenue wise. Liking that Planet 13 is still stocking lots of AMA products and recently announced another record quarter. Vegas appears to be coming back strong. Like :) Looking forward to improving revenues in the 1933 Q1 report in 30 days. glta

Happy Friday 1933!!! I am into universe signs, lol, so I was bike riding by my dream house, country old fashion house with land, in the hills I bike ride in. And being Youtube man, I am spending lots of time, on videos on manifestation, so today, there was a older gentalmen leaf blow outside his front gate, and it was an electric one, so after riding by, said,,,lets go back and talk to him, well to try and shorten this text, we had a great talk, and he said his family built the house in 1933,,,my dream house, built same year, as the name of my dream company, this dreaming is getting powerful, sweet dreams everyone, something tells me, my heart!!! To like just give it all I got, like a grand fanlly,,,so my advise, hang on to your shares as I will be like going crazy, next week, maybe I start at .06,,,then everyday I move up 3%,,,like forever, lol,,,will think about a plan for Monday:),,,but what ever I come up with, I am sure it will be a perfect one:)

Like the name, onelove! My one love is enlightenment, and daytrading, and reading charts, and turning investing into a skill, ,so thanks, I know you mean well, but I don't want the luck, as this is a skill sport, now what I really like about 1933, so when it goes to a dollar, people won't say you just got lucky, again!!! As finding these company's,really are like a needle in a hay stack, so here are my keys thoughts, 1933 has very, very good, products, they sell in a very good store, like largest in the world, lol, planet 13, sorry for lol, but I seem to find e lightenment when talking about this company, then we have CEO, he like started, or built, or came from cron!!! Now he is here, now 1933 just became profitable, and CEO even put more of his own money in at .11 in that private offering, and lastly, you have birdys here, lol, just look at where I have posted, then look at the chart, dare you to find, one looser, I mean babl, that was once my biggest looser, but, even it had its day, lol, get ready, my prediction dollar land, and that's only a 20 bagger, don't even know what babl was, .0007 to .18 maybe .21 but who really counts when we catch a wave, and I promise for as many bags as you can count, over 1000, lol I really screwed most of them up, or, now like to say, learned so much from them, think 1933 will be a great wave, someday,,, and until that day, I just keep sitting on the bid, with 33k, its like an endless supply of 33ks,,,now will add , 1933 is like a .05 stock now, so,,,it even helps inspire daytrading skills, as even just a 1 dollar profit trade, say 100 dollars,,goes to 101, I can sell, and buy like 20 shares here, lol, so,,,every penny adds up, someday I write the book, master 1% trade, dad laughed at 10 dollar to make .10,,,but I told him I make it sometimes 30 times a day, he still laughed, well then it went to 100 to make 1, the. 1000, to make 10, then,,,10000 to make 100, then,,,,100k to make 1k, funny thing is, dad does not laugh no more, sad thing is, he actually shunned me, because he can not take my success, but see my friend, turn trading into a skill, never take the luck!
