Funny you asked about my offers. I think I might have mentioned this before but to answer your question RE: Offer.

I actually had GTCs on all my accounts for ZIVO at $99.00. But just checked and the GTC orders expired a couple weeks ago .... so I will reestablish them. Don't want any shenanigans using my accounts even though I know it happens anyway. That's only a roughly $300 million valuation. Of course ... IMO .... with multiple verticals realized .... IMO it is worth more than that.

I've no problem with the stock gaining $10 and .... hopefully ..... holding that new level. Double digits is a milestone.
But again wouldn't shock me if that is Maggiore buying although I would think that he can't given the EoQ at this point.

As you've previously mentioned, that GTSM market maker always seems to be involved in the 'shenanigans' with this ticker. ie-it appeared they were the ones tossing shares back and forth amongst themselves with those odd prints in the 3's/5's and then suddenly back up in the 7's the last few weeks (given it was typically just a few hundred shares and easy to accomplish).

Sellers stacking up that 11.50ish area now.

"Peculiar" action this morning to say the least, but again...just 1783 shares traded as of this post.

I'm just waiting patiently. Have to wonder why someone is buying above recent market prices and 20% higher at $10 this morning. Of course .... IMO ... the company is much further along than it ever was before under Dahl and the price should already be well north of $10 just to get back to valuation prior to dismal 2023 fiasco ......... plus ..... we don't know where negotiations stand with animal pharma ........ so even though volume is minimal ...... gotta wonder.

Frankly wouldn't be shocked to see Form 4 in a couple days. LOL

And strange that now 2 bidders above $9 and some "offer stacking" around $11.50ish.

I was trying to pick off shares in the low $5 range in past weeks but it isn't worth the time when there are so many other stocks to make bank on and ya can't buy much of anything to meaningfully trade anyway.

But someone continue to step up into upper $7 range anytime there is the slight bit of selling.
And just as I say it ..... buying above $8 and into the $9 range.

And now best offer $11.55 .... LOL

I think your assertion is true. So far the stock is generally holding around the $8 level save a couple sells here and there. Someone still buying it back to $8 .... thus far. Given the tightly held nature of the stock I think that is a good sign that Payne is still working a pharma deal. Externally no reason for an outsider to buy it. No news. No info.

So we wait on the other shoe to drop. And like you ... I'm watching for clues as to the stock movement. The way these low floaters are popping off these days ..... a pharma deal from ZIVO could send this northward big time on release. Of course I would expect ZIVO to botch or blunt the release of that info as they always do ... if it happens of course. Remember that this is a novel approach for animal pharma. No change in this space for 6 decades. So a deal as we see not happening overnight. Encouraged by recent Maggiore buy and the stock generally maintianing level .........leads me to think things are still being worked given it's timing and the action.

More "good" news, ZIVO-ers...

Looking at a daily chart, if $7 becomes heavy...barring the unexpected...ZIVO appears to be starting its 'typical' slow death bleed into end of year as ALL VOLUME from 1/22/24 forward will be underwater. Selloff likely will not be as extreme as last year given there are no Armistice type holders, but slow, painful and annoying nonetheless.

This time is NOT different unless PROVEN it IS different...

Same as it ever was...

They have already stated algae production will not be ramped up until 2025. Expecting no major news until then. Why put a hundred million in R&D and then exit right when you can start producing large volumes? They need enough revenue to “keep the lights on” until then.

Amigo, the sale of the company would be the cleanest i.e. agree on some fair price for what ZIVO has compiled to date and put a value/price to it.

OR

Have a buyer(s) buy certain aspects of the company with rights to buy other parts of the company etc. Of course ZIVO could put a ROFR on so the buyer does not have to buy the whole company but has the right to if another buyer wants to buy the other part(s)

It appears to me that Maggiore just bought shares in the open market so I'm not sure what the minimum timeframe is for the company to then announce material news.

That said, IMO, there could be as many as 3 different material events short term. You can probably figure out 1 or 2 of them ...... I think there could be a surprise item in there too.

I am standing pat with my open swing position in lieu of no information to the contrary and have already more than covered the cost and riding free. As noted previous, I am leaning towards a sale of the company at this point but a couple different things could happen. And I still think a fair price is multiples of the current price.

Why are you scratching your head? This is an insider controlled company. Those who control the company know what is going on and have no incentive to share information and get the stock price up. Price goes down? No problem, just adjust the award . Look at the Masterson vote. A little over 5% of votes withheld support. Vast majority of votes controlled by the board and insiders supported.

A couple more Form 4s posted this evening for directors I believe completing the reporting on the laughable adjustments. I surely don't have any issue with directors being compensated and I know they were behind on it as explained in the filings .... but given the lack of .... frankly ... anything from this company in a while, there isn't much public justification for the awards. The Marchiando award ..... um ..... WTF. ZIVO don't need much more than a bookkeeper.

The Maggiore Form 4 shows he purchased over 3700 shares on the open market on June 12th but that many shares didn't trade so guessing he was almost all the action from June 10-12. Buying with Maggiore sometimes good .... sometimes not so good. In this case .... good news of an actual insider buy. On the flip side of that, he can't buy in front of or if in receipt of material news ...... so ... IMO, there isn't any significant news coming from ZIVO in the very short term. The cone of silence may have a purpose. The question is ... what ? I won't be buying with Maggiore here.

8K also posted. And frankly, scratching my head. Matter of fact vote results .... and that's it. No shareholder address for the annual meeting offered. No update on where the company is and where it is going.

Frankly, I am leaning heavily towards ZIVO selling to a big boy at this point. They've characterized the molecule and mechanism of action and have filed multiple patents. Last I checked I believe those patents surrounding these items were still in process. Payne while still an industry guy is well up there in age and there isn't an hier apparent to the ZIVO throne with the exception of Cornell who I think has the skillset to handle it ..... but Payne is the guy and it's his baby at this point. ZIVO has a shitload of loss carryforwards that have value as well ..... so gimme $25-$40 and lets move on already. Too cheap but ZIVO can't prove all the vertical options in a reasonable time and doesn't have the coin to do it ..... so it's time to get something done. That would be pocket change to a big boy animal pharma.

I wonder what Strome and other large holders not on the board think about this. If I had more shares it would be worth an SEC complaint.

I do think Payne knows the game being the pharma insider that he is ..... but ...... he's on the other side of the fence at this point. And while not CEO that whole time has been a director of the company for several years ..... so ...... it's past time.

This is another error on mgmt's part IMHO. I'm pretty sure investors temperature's are running hot right now what with the lack of anything from mgmt and no call in to the meeting is likely one more for the top of the pile.

I would anticipate there will be an 8K filed that provides the CEO letter and the results of the elections which of course for this go round isn't much. Masterson on the ballot ...... that is a withhold at best in lieu of not having option for "AGAINST" flat out.

I won't speculate on the meeting ... but I think it is ALWAYS a mistake not to engage investors ... good or bad. No action in the stock today so if anyone was in attendance, nobody ran out to "buy" or "sell" based on what they heard. =) I know the last shareholders meeting I was at, I knew the stock was a sell coming out of it.

It's time for this company to take the next step .... whatever that step may be.

.... I sold a few hundred shares @ 7.88 from my currently open swing trade in ZIVO. This swing trade is already fully covered by prior sales.

This isn't a reflection on ZIVO's current prospects for a deal with big pharma .... but rather ZIVO's lack of price movement .... and opportunities to swing in other current plays.

“On June 5, 2024, the Reporting person accepted and was issued 81,544 shares of restricted stock in lieu of unpaid non-employee director service fees earned during the calendar year ending December 31, 2023. Honestly don't know. Have spent almost no time on ZIVO of.late. Too many other companies executing their plan and generating shareholder value.

As far as I know, no announcement on the shaeholder meeting details for participation. Were I to guess I'd anticipate the potential to submit questions in writing ahead of time which should be the absolute MINIMUM they should accomodate. I dont expect they'll allow open call in questions. But one never knows. How they engage with investors .. IMO .... speaks volumes.

Well I hope that your "gut" is correct but I honestly wouldn't hold my breathe. These guys don't work on the timelines of the "small fry" so you more or less get what you get ... when you get it ..... and like it ..... unless you have something exceptionally compelling that is a must have.

My opinion is the ZIVO IP is more on the side of "must have" for someone but is not seenthat way at this point. And given it is based in a nature product, our pharma friends typically no likey until they can get their hands on a synthetic version that they can manufacture and rake in the dough.

But we shall see.

New York Times article on "long covid" still a problem. Would be simple test and I'm sure numerous people would jump at chance to try a natural product that might help eh ??

I am hoping he uses the annual meeting address to bring investors up to speed on the latest activities. I am sure any shareholder in the room would be asking for that information if not directly provided in the prepared remarks.

No explanation on the form which is a bit unusual. But given the annual shareholder meeting is next week, wouldn't shock me if this was first of multiple equity awards to directors.

Of course at ~$8 / share ..... amounts to near $300k award. Um, for what is known today, that is silly ass ridiculous unless there is more to it.

Speaking of which, everyone have their flight booked to Detroit to attend next week's meeting ? LOL. I should have gathered a couple troops and arranged a meet up but forgot about it. Oh well.
