New countdown clock for MVNT: 43 days

My calculations show that approximately 43 days are left for MVNT to file their FY 2024 financial results before being downgraded to the "Expert Market". This includes the 16-month time period to remain at Pink Limited and the additional 15-day grace period.

I estimate the actual date for downgrading MVNT will be either Nov. 14 or Nov. 15. This is because of the uncertainty I have regarding the exact date that the grace period will start.

If MVNT was Pink Current they would be immediately downgraded to Pink Limited. But since MVNT is already PL, the only consequence is that they must remain qualified as PL. When they are not qualified as PL anymore (around October 31), they will enter the 15-day grace period immediately.

At least that's the way it is supposed to work. LOL

I think that's correct. Most important thing is to get YE in before the 15-day grace period ends.

If they get YE done before grace period ends, they could be upgraded to current with AL. That should last until Q1 is due. Q1 is due Nov. 14, 45 days after Sept. 30. Last year MVNT didn't file an AL until 5/14/24. Then they were upgraded to current for a short time until being downgraded again when they were late with Q3 report.

Some of these "deadlines" are at the discretion of OTCMarkets. In particular, I've seen the start of the grace period being delayed after a downgrade to PL. So it's difficult to know some of these deadlines with absolute certainty.

At least that's how I interpret OTC's guidelines.
When a company no longer meets the requirements for Limited Information, it will enter a 15-day grace period. So when will MVNT no longer meet the requirements for the Limited Information tier (PL)?

PL requires the last fiscal year disclosure to be within the past 16 months.

So since MVNT filed a financial disclosure for FY 2023 which ended June 30, 2023. They are still eligible for the PL tier for 16 months from June 30, 2023. That means their grace period should start Nov. 1, 2024. Last year I believe it started on Oct. 31 (not positive about this date).

I think these guys have a successful restaurant business in Houston but don’t know how to run a public company so I say NO!
